1. About These Terms

Please read these Terms carefully before engaging our services. By placing an order or using our services, you agree to be bound by these Terms.
2. Our Services
We provide technology and digital services as described on our website at jouffre.codes. Full details of our service offerings are available on our Site. All descriptions are provided for general information and do not form part of a contract unless expressly confirmed in writing.
3. Orders and Acceptance
Your order constitutes an offer to purchase our services. We reserve the right to accept or decline any order at our discretion. A binding contract is formed only when we confirm acceptance of your order in writing (including by email).
4. Pricing and Payment
- All prices are quoted in British Pounds Sterling (GBP) and are inclusive of VAT where applicable, unless stated otherwise.
- We reserve the right to change prices at any time, but changes will not affect orders already confirmed.
- Payment is due as specified in our invoice or order confirmation.
5. Consumer Rights and Cancellation
If you are a consumer (an individual acting outside of your trade, business, craft or profession), you have statutory rights under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013:
- Cooling-off period: For distance contracts (online purchases), you have the right to cancel within 14 days of the contract being entered into, without giving any reason.
- Right to a refund: If you cancel within the 14-day cooling-off period, we will reimburse all payments received from you within 14 days of receiving your cancellation notice.
- Services already commenced: If you have requested that services begin during the cancellation period and you subsequently cancel, you may be required to pay for services already provided up to the point of cancellation.
- Quality of services: Under the Consumer Rights Act 2015, services must be performed with reasonable care and skill. If services are not performed in accordance with the contract, you are entitled to a repeat performance or, where that is not possible, a price reduction.

6. Intellectual Property
All intellectual property rights in any work product we create remain our property (or that of our licensors) until full payment has been received. Upon full payment, we grant you a non-exclusive licence to use deliverables for their intended purpose, unless otherwise agreed in writing.
Our intellectual property is protected under the Copyright, Designs and Patents Act 1988 and other applicable UK and international legislation.
7. Confidentiality
Both parties agree to keep confidential any commercially sensitive information exchanged during the course of our engagement. This obligation survives the termination of the contract.
8. Limitation of Liability
To the fullest extent permitted by the laws of England and Wales:
- Our total aggregate liability arising from or in connection with these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, special or consequential loss or damage, including loss of profit, revenue, data or business opportunity.
Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any breach of the obligations implied by section 12 of the Sale of Goods Act 1979; or (d) any other matter for which it would be unlawful to exclude or limit liability.
9. Force Majeure
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, pandemic, government action, power failure, or internet disruption.
10. Data Protection
We process personal data in accordance with the UK GDPR and the Data Protection Act 2018. Please refer to our Privacy Policy for full details on how we handle your data.
11. Complaints Procedure
If you are dissatisfied with our services, please contact us at about@jouffre.codes. We aim to resolve complaints within 14 business days. If we are unable to resolve the matter to your satisfaction, you may be entitled to use an alternative dispute resolution (ADR) scheme.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer, nothing in these Terms affects your statutory rights.
13. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court, the remaining provisions shall continue in full force and effect.
